Vendor Agreement

This is a critical legal document governing the merchant-platform relationship and Stripe Connect integration. It must be reviewed by qualified legal counsel before any merchant signs it.
This Vendor Agreement (“Agreement”) is between Illure Design, operating as Alkemy Market (“Platform”), and you (“Vendor,” “Merchant”), and governs your use of the Platform as a seller. By creating a vendor account, you agree to this Agreement in addition to the Terms of Service and Privacy Policy.
1. The Relationship
You are an independent business using Alkemy Market as a sales channel and storefront host. You are not an employee, contractor, or agent of Alkemy Market. The Platform provides infrastructure — marketplace discovery, storefront hosting, payment facilitation, shipping integration, and related tools.
You are the merchant of record on every transaction. You own your customer relationships, your data, and your revenue. Alkemy is infrastructure. We earn a commission for providing the platform, but we never own your business or your customers.
2. Stripe Connect
The Platform uses Stripe Connect with direct charges. This means:
- You must create and maintain a Stripe account in good standing
- Customer payments are charged directly to your Stripe account
- Alkemy's commission is collected via Stripe's application fee mechanism
- You are bound by Stripe's Terms of Service and Connected Account Agreement
- Stripe handles PCI compliance for payment processing
- Alkemy does not have access to your Stripe credentials or the ability to initiate charges on your behalf outside the Platform
If your Stripe account is suspended or terminated by Stripe, your ability to process sales through Alkemy will be affected. We are not responsible for Stripe's decisions regarding your account.
3. Commission & Fees
Plan Tiers
- Free Plan: No monthly fee. 8% commission on product sale price (excluding shipping and tax).
- Growth Plan: $99 CAD/month. 5% commission.
- Pro Plan: $299 CAD/month. 3% commission.
Alpha Vendors
Vendors who join during the alpha testing period receive a reduced commission rate of 1% for the duration of the test period plus one year following the Platform's public launch. This rate applies regardless of plan tier during the promotional period.
How Commission Is Collected
Commission is deducted automatically from each transaction via Stripe's application fee mechanism at the time of purchase. You receive the sale amount minus the commission and Stripe's processing fee. There are no invoices, no delayed billing, and no surprises.
Price Changes
We will provide at least 30 days written notice before any changes to commission rates or monthly subscription fees. Existing merchants on annual plans will not be affected until their renewal date.
4. Products & Content Standards
All products listed on the Platform must comply with our content standards:
- Products must be accurately described with truthful titles, descriptions, and images
- You must have the legal right to sell the products you list
- Prohibited items include: counterfeit goods, illegal substances, weapons, hazardous materials, and items that violate intellectual property rights
- Products are subject to automated review by the Anti-Bot Mafia quality system
- We reserve the right to remove listings that fail quality review or violate these standards
You will be notified of any content removal and may appeal through our support process.
5. Fulfillment & Customer Service
As the merchant of record, you are responsible for:
- Shipping products within the timeframe stated in your listing
- Providing accurate tracking information
- Handling customer inquiries, returns, and refunds
- Complying with consumer protection laws in your jurisdiction and your customers' jurisdictions
The Platform provides tools to facilitate fulfillment (EasyPost shipping integration, Zonos landed cost calculation), but the obligation to fulfill orders rests with you.
6. Data Ownership & Export
You own your merchant data, including:
- Customer names, email addresses, and shipping addresses from your orders
- Order history and transaction records
- Product listings, images, and descriptions
- Storefront configuration and brand assets
You may export your complete data set at any time via the Platform's export tools. There are no fees for export and no restrictions on frequency. Upon account closure, data is retained for 30 days for final export, then permanently deleted.
7. Intellectual Property
You retain all intellectual property rights to your brand, products, images, and content. By listing on Alkemy, you grant us a limited, non-exclusive license to display your content within the marketplace for the purpose of promoting and selling your products. This license terminates immediately upon content removal or account closure.
Alkemy Market's platform code, design system, brand assets, and proprietary tools remain the intellectual property of Illure Design.
8. Chargebacks & Disputes
The Platform provides chargeback protection through Chargeflow. When a customer initiates a chargeback:
- Chargeflow will automatically compile evidence and respond to the dispute
- You may be asked to provide additional evidence (proof of delivery, correspondence)
- The financial outcome of the chargeback is between you, Stripe, and the card network
- Alkemy is not liable for chargeback losses
9. Suspension & Termination
By You
You may close your vendor account at any time. Outstanding orders must be fulfilled or refunded. Monthly subscriptions end immediately; annual subscriptions run to the end of the billing period.
By Us
We may suspend your account for content policy violations, fraud, or Terms of Service breaches. We will provide notice and an opportunity to remedy the issue before permanent termination, except in cases requiring immediate action (fraud, illegal activity, harm to other users).
Upon termination, you retain the right to export your data for 30 days.
10. Limitation of Liability
Alkemy Market provides a platform for commerce. We do not guarantee sales volume, conversion rates, or revenue outcomes. Our total liability to you under this Agreement shall not exceed the total fees you have paid to us in the 12 months preceding any claim.
We are not liable for actions taken by Stripe, shipping carriers, or other third-party service providers integrated into the Platform.
11. Governing Law
This Agreement is governed by the laws of the Province of Alberta and the federal laws of Canada. Disputes shall be resolved through binding arbitration in Edmonton, Alberta, unless otherwise required by applicable law.
12. Modifications
We may modify this Agreement with 30 days written notice. Material changes affecting commission rates, data ownership, or termination rights will require affirmative consent from existing vendors.
