Terms of Service

This document is a structural template. All sections should be reviewed and finalized by qualified legal counsel before publication.
These Terms of Service (“Terms”) govern your access to and use of the Alkemy Market platform (“Platform”), operated by Illure Design (“we,” “us,” “our”), based in Edmonton, Alberta, Canada. By creating an account or using the Platform, you agree to these Terms.
1. Definitions
“Merchant” refers to any individual or business that creates a vendor account to sell products through the Platform.
“Shopper” refers to any individual who browses or purchases products through the Platform.
“Platform” refers to the Alkemy Market website, services, APIs, and associated tools.
“Storefront” refers to the merchant's individual store page hosted on the Platform.
2. Account Registration
To use certain features of the Platform, you must create an account. You agree to provide accurate, current information and to keep your account credentials secure. You are responsible for all activity under your account.
You must be at least 18 years old (or the age of majority in your jurisdiction) to create a merchant account.
3. Merchant-of-Record
Merchants on Alkemy are the merchant of record for all transactions processed through their storefront. This means:
- Payment is processed through the merchant's own Stripe Connect account
- The merchant is responsible for fulfillment, returns, and customer service
- Alkemy does not hold, process, or control merchant funds beyond the agreed commission
- The merchant is responsible for collecting and remitting applicable taxes
4. Fees & Commission
Alkemy charges a commission on each sale, determined by the merchant's plan tier:
- Free: 8% commission on the product sale price
- Growth ($99/month): 5% commission
- Pro ($299/month): 3% commission
Commission is calculated on the product sale price excluding shipping and taxes. Stripe payment processing fees (currently 2.9% + 30¢) are separate and charged by Stripe directly.
We reserve the right to modify pricing with 30 days written notice to affected merchants.
5. Acceptable Use
You agree not to use the Platform to:
- Sell prohibited, illegal, or counterfeit goods
- Engage in fraud, misrepresentation, or deceptive practices
- Violate intellectual property rights of others
- Distribute malware, spam, or malicious content
- Circumvent platform security, rate limits, or access controls
- Resell or redistribute platform services without authorization
We reserve the right to suspend or terminate accounts that violate these terms.
6. Content & Intellectual Property
Merchants retain full ownership of their product listings, images, descriptions, and brand assets uploaded to the Platform. By uploading content, you grant Alkemy a limited license to display, distribute, and cache that content for the purposes of operating the marketplace.
This license terminates when you remove the content or close your account.
7. Data Ownership & Portability
Merchants own their customer data, order history, and product catalog. You may export your complete data set at any time through the Platform's export tools. There are no fees for data export and no restrictions on frequency.
Upon account closure, we will retain your data for 30 days to allow for final exports, after which it will be permanently deleted from our systems.
8. Content Moderation
All product listings are subject to automated quality review by our Anti-Bot Mafia system. We reserve the right to remove content that violates our quality standards or acceptable use policy. Merchants will be notified of content removal and may appeal through our support process.
9. Account Termination
You may close your account at any time. Monthly plan subscriptions can be cancelled immediately. Annual plans will remain active until the end of the billing period.
We may suspend or terminate accounts for Terms violations with notice, except in cases of fraud or illegal activity where immediate action may be required.
10. Limitation of Liability
Alkemy Market is provided “as is.” We do not guarantee uninterrupted service, specific sales outcomes, or that the Platform will meet all of your requirements. Our total liability to you shall not exceed the fees you have paid to us in the preceding 12 months.
11. Dispute Resolution
These Terms are governed by the laws of the Province of Alberta and the federal laws of Canada. Any disputes arising from these Terms shall be resolved through binding arbitration in Edmonton, Alberta, unless otherwise required by applicable law.
12. Changes to Terms
We may update these Terms from time to time. We will notify merchants of material changes via email at least 30 days before they take effect. Continued use of the Platform after changes take effect constitutes acceptance.
